1. Purpose and Scope

These Terms and Conditions govern your access to and use of amazee.ai services ("the Service"), which may include AI provider integrations, private AI assistants, document processing capabilities, and related AI infrastructure services, provided by amazee.io ("amazee.io", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Service Nature and Limitations

The amazee.ai services enable AI capabilities through various offerings including Drupal integrations, standalone AI interfaces, and enterprise AI infrastructure. You understand and agree that:

  • The Service may include AI infrastructure, APIs, conversational interfaces, document processing capabilities, and related AI features
  • Performance and availability depend on both the Service and your infrastructure configuration
  • Usage limits, rate limits, and feature restrictions apply based on your selected plan
  • The Service may include standalone AI interfaces, document processing capabilities, and conversational AI features
  • Usage limits, storage policies, and feature availability may vary by service offering and will be communicated through the Service interface
  • Each organization or business entity is limited to one free trial period per service offering
  • Creating multiple accounts to circumvent trial limitations, usage limits, or subscription requirements is prohibited
  • Account sharing, credential sharing, or other methods to avoid proper licensing are strictly prohibited
  • We reserve the right to implement reasonable usage limits to ensure service quality and availability
  • We may update, modify, or enhance the Service at any time
  • We may introduce additional features or remove existing features with reasonable notice

3. Data Processing and Privacy

By using the Service, you understand and agree that:

  • We offer a Data Processing Agreement (DPA) upon request. Your data is handled in line with relevant data protection standards.
  • All data processing occurs within the region you select during setup
  • For services that include document upload or processing capabilities, all processing occurs within your selected region
  • We may collect technical metadata and usage metrics for service operation, debugging, and improvement purposes
  • You are responsible for ensuring you have appropriate rights to process any data, documents, or content submitted to the Service
  • You will not submit, store, or process data in violation of applicable privacy laws
  • Data isolation and access controls are implemented according to your service configuration
  • We collect usage metrics (token counts, API calls, error rates, feature usage) to maintain and improve the Service
  • Your contact information may be used to provide service updates, technical notifications, and billing information

4. Document and Content Processing

Where applicable, the Service may allow document upload and processing. You understand that:

  • Supported file types and size limits are subject to change and will be communicated through the Service interface
  • Usage must comply with fair use principles and applicable laws
  • We reserve the right to implement storage, retention, and deletion policies as the Service evolves
  • Specific data retention and deletion policies will be provided as they become available
  • You retain full ownership of any documents or content you upload to the Service
  • Processing of your documents occurs solely within your selected region

5. AI Features and Limitations

Our AI features are designed to enhance your experience by providing intelligent suggestions, automations, content generation, and conversational interfaces. However, it's important to understand the limitations:

  • Non-deterministic outputs: Responses may vary even when prompts are repeated. This is expected behavior and a byproduct of how large language models work.
  • Potential for bias or inaccuracy: While we aim for high-quality and useful outputs, results may be factually incorrect, incomplete, or reflect biased patterns present in the training data.
  • Human review is recommended: You should not rely on AI-generated content for legal, medical, or other critical decisions without manual validation.

6. Your Responsibilities

You agree to:

  • Implement appropriate security measures to protect your API keys, credentials, and account access
  • Configure the Service in compliance with applicable laws and regulations
  • Provide accurate billing and contact information
  • Use individual accounts and not share login credentials, API keys, or other access methods
  • Ensure each user who needs access has their own properly licensed account
  • Promptly report any security concerns or Service issues
  • Use the Service in accordance with our Acceptable Use Policy
  • Not attempt to reverse engineer or circumvent any limitations of the Service

7. Acceptable Use

8. Billing and Payment

  • Payment terms and pricing models may vary by service offering
  • Pricing may be based on usage, seats, features, or other metrics as specified in your selected plan
  • You agree to pay all fees associated with your account
  • amazee.io reserves the right to suspend service for accounts with overdue payments
  • Pricing and pricing models may be updated with 30 days notice

9. Intellectual Property

All intellectual property rights in the Service, including software, designs, and content, belong to amazee.io or its licensors. No rights or licenses are granted other than the limited right to use the Service in accordance with these terms.

You retain all ownership rights to your own content and data that you submit to or process through the Service ("Your Content"). Subject to your ownership, you grant amazee.io a limited, non-exclusive, worldwide license to use, process, store, and transmit Your Content solely for the purpose of providing and improving the Service.

Any outputs generated by the Service using Your Content — including responses, completions, or other AI-generated content — are made available to you under the same rights as Your Content, to the extent permitted by law. However, amazee.io makes no representations regarding the copyrightability or ownership of such outputs under applicable intellectual property laws.

You are solely responsible for ensuring that your use of the Service, including any AI-generated outputs, does not infringe on third-party intellectual property rights.

10. Warranties and Disclaimers

amazee.io warrants that the Service will perform materially in accordance with its documentation. EXCEPT FOR THIS EXPRESS WARRANTY, THE SERVICE IS PROVIDED "AS IS" AND amazee.io EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL amazee.io BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICE.

You undertake to indemnify amazee.io against all claims, actions, proceedings, losses, expenses and costs (including without limitation court costs and reasonable legal fees) arising out of or in relation to your use of the Services, any unlawful or infringing acts by you and/or errors in the data and information. This includes (without limitation) in particular claims for infringement of intellectual property and data protection rights.

12. Termination

  • You may terminate your use of the Service at any time by providing written notice
  • amazee.io may terminate or suspend your access for violation of these terms
  • amazee.io may discontinue the Service with 30 days' notice
  • Upon termination, you shall cease all use of the Service
  • Sections regarding payment obligations, intellectual property, warranties, limitation of liability, and confidentiality shall survive termination

13. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party. You acknowledge that the Service contains confidential and proprietary technology, and you agree not to disclose any details about its functionality, performance, or implementation without amazee.io's written consent.

14. Changes to Terms

amazee.io may modify these Terms and Conditions from time to time. If we make material changes, we will provide at least 30 days' prior written notice via email or through the Service interface before the changes take effect. Non-material or administrative updates may be made without notice.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions.

16. Support and Maintenance

  • Technical support is provided according to your selected plan
  • amazee.io will make commercially reasonable efforts to ensure the Service is available and functioning properly
  • Scheduled maintenance will be communicated in advance
  • Emergency maintenance may occur with limited notice

17. Data Sovereignty and Compliance

All data processing related to the Service occurs within the geographic region you select during setup. amazee.io is committed to maintaining high standards of data protection and security and holds different certifications which can be found on our trust portal at https://trust.amazee.io. We comply with applicable data protection regulations, including GDPR, PIPEDA, and other relevant laws.

You acknowledge and agree that amazee.io may engage trusted third-party service providers ("Subprocessors") to assist in delivering and maintaining the Service. These Subprocessors may include cloud infrastructure providers, AI model vendors, and operational support tools. All Subprocessors are bound by written agreements that impose data protection obligations no less protective than those set forth in our Data Processing Agreement.

A current list of Subprocessors is available upon request.

You remain solely responsible for ensuring your use of the Service complies with your own legal and regulatory obligations, including those related to personal data, data residency, and cross-border data transfers.

18. Force Majeure

amazee.io shall not be liable for any failure or delay in performance of its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, cyberattacks, internet outages, governmental actions, or labor disputes.
